This Global Settlement Agreement (the “Global Settlement Agreement”) is made and entered into by and among: (i) FTX Trading Ltd. and its affiliated debtors and debtors-in- possession (and their successors, including any plan administrator or wind down trust) (the “FTX Debtors”)1 in the jointly-administered chapter 11 cases captioned In re FTX Trading Ltd., No. 22- 11068 (JTD) (Bankr. D. Del.) (the “FTX Bankruptcy Proceedings”); (ii) each of plaintiffs’ counsel set forth in Exhibit A (“MDL Counsel”) representing parties in actions in the multidistrict litigation captioned In re FTX Cryptocurrency Exchange Collapse Litigation, MDL No. 23-03076 (S.D. Fla.) (the “FTX MDL”);2 and (iii) each of the named plaintiffs in the actions pending in the FTX MDL as set forth in Exhibit B (the “MDL Plaintiffs”, and together with the FTX Debtors and MDL Counsel, each a “Party” and collectively, the “Parties”).
