These Terms and Conditions (“Terms”) shall be incorporated into each Purchase Order between Facility Gateway Corporation and/or its Affiliates (hereinafter, jointly, "FGC"), and the Vendor/Supplier identified in the Purchase Order (“Supplier”). Supplier shall be bound by these terms and expressly limited to as stated herein. Any additional or different terms proposed by Supplier are rejected unless expressly agreed to by mutual written agreement. For the purposes of interpretation herein, the Purchase Order with these incorporated Terms shall be referred to collectively herein as the “Agreement”. Supplier and FGC are also referred to as “Party” and collectively as the “Parties”.
