These terms and conditions, together with the quotation or offer document (“the Proposal”) issued by the Company, form the contract (“Agreement”) entered into between (a) in the event the Customer is an entity organized under laws of any of the United States or has its principal place of business in the United States, Applied Materials, Inc. and its Affiliates or (b) in the event in the event the Customer is an entity organized outside of the United States and/or has its principal place of business outside of the United States, Applied Materials South East Asia Pte. Ltd and its Affiliates, expressly including Perceptive Engineering Limited (an Applied Materials Company), which has an office at Vanguard House, Sci-Tech Daresbury, Keckwick Lane, Daresbury, WA4 4AB, (“the Company,” “PEL” or “Applied”) and the Customer, whose details are set out in the Proposal (“the Customer”).
