The Company is a Dealer of CurrentSAFE. Under the Dealership, the Company performs testing and repair of electrical systems; modifications, additions and changes to such systems; and the installation of such systems (herein the CurrentSAFE Business”). Pursuant to the Dealership, CurrentSAFE has and will provide the Company with, or access to, trade secrets, customer agreements, computerized operating systems, pricing manuals, a Confidential Operating Manual (herein collectively the “CurrentSAFE Confidential Materials”), and other information and materials, all of which is considered to be of a confidential and proprietary nature. In addition, Company will generate customer and prospect lists and customer information (herein the “Company Confidential Information”), which is also considered to be of a confidential and proprietary nature.
