THIS PAYMENT IN LIEU OF TAXES AGREEMENT (this "Agreement") is entered into as of the day of , 2020, between and among CityPlace Corporate Centre I Investors, LLC, a Kansas limited liability company ("CPCC I"), 5800 Stilwell BI SPE, LLC, a Kansas limited liability company ("5800 Stilwell"), Perg BI SPE, LLC, a Kansas limited liability company ("Perg"), and LOICP I, LLC, a Kansas limited liability company ("LOICP I") (collectively, CPCC I, 5800 Stilwell, Perg and LOICP I shall be referred to herein as "Developer"), and the City of Overland Park, Kansas, a municipal corporation duly organized, existing, and constituted under and by virtue of the Constitution and laws of the State of Kansas (the "City"). Each of 5800 Stilwell, Perg and LOICP I owns an undivided tenant-in-common interest in and to the Land, and such parties ground lease the Land to CPCC I pursuant to that certain Ground Lease dated as of , 20 , and CPCC I is the owner of the Building and the Project (all as defined below).
