THIS ASSIGNMENT AGREEMENT (the “Agreement”), is made and dated as of October •, 2000, by and among ENRON POWER OIL SUPPLY CORP., a corporation organized and existing under the laws of Delaware and qualified to do business in and contracting through its branch in Guatemala (the “Pledgor”), PUERTO QUETZAL POWER LLC, a limited liability company organized and existing under the laws of the State of Delaware and qualified to do business in and contracting through its branch in Guatemala (together with its successors, the “Company”), and CITIBANK, N.A., as Collateral Trustee (including its successor in such capacity, the “Collateral Trustee”) under the Collateral Trust and Security Agreement (the “Collateral Trust Agreement”) dated as of October •, 2000 among the Company, the Secured Parties named therein, Citibank, N.A., as Account Bank and Securities Intermediary and the Collateral Trustee.
