THIS AGREEMENT is made on 6 August 2014, BETWEEN: (1) Banco Espírito Santo, S.A., public company, a bank incorporated under the laws of Portugal, with its registered office at Avenida da Liberdade, 195, 1250-142, in Lisbon, Portugal, with a share capital of EUR 6.084.695.617,06 and registered with the Commercial Registry of Lisbon under sole commercial registration and taxpayer number 500 852 367 (the Seller) and herein duly represented by directors of the Seller; and (2) Novo Banco, S.A. a bank incorporated under the laws of Portugal by decision of the Bank of Portugal dated 3 August 2014, under the terms of article 145-G number 5 of the Legal Framework of Credit Institutions and Financial Companies enacted by Decree-Law No. 298/92 of 31 December, as amended from time to time (the Decree), with a share capital of EUR 4.900.000.000,00 and with head-office at Avenida da Liberdade, 195, 1250-142, in Lisbon, Portugal (the Purchaser) and herein duly represented by directors of the Purchase
