This Memorandum of Understanding and Agreement For Stormwater System Operation and Maintenance (“Agreement”) dated is entered into by and between the City of Burlington, a Vermont Municipal Corporation, acting by and through its Department of Public Works (the “City”), and BTC Mall Associates LLC, a Delaware limited liability company (“Owner”) and its successors or assigns. Each is referred to individually as a “Party” and collectively as the “Parties.”
