THIS POWER PURCHASE AGREEMENT (“Agreement”) dated effective February , 2020 (the “Effective Date”), is being entered into by and between the Modesto Irrigation District, an irrigation district formed under the laws of the state of California (“Buyer”), and Mesquite Solar 4, LLC, a limited liability company organized and existing under the laws of Delaware (“Seller”). Each of Buyer and Seller is referred to individually under this Agreement as a “Party” and together they are referred to as the “Parties.”
