This Data Supplier Transfer Addendum (“DTA”) amends and supplements the Mutual Non-Disclosure and Evaluation Agreement – Data Partner (“Agreement”) entered into between TD and Company (each, a “Party” and collectively, the “Parties”), and is hereby incorporated by reference into the Agreement. All capitalized terms not otherwise defined in this DTA will have the meaning given to them in the Agreement. This DTA will only apply to the extent that Data Protection Legislation applies to the use of Company Personal Data by TD including if Company Personal Data relates to Data Subjects who are in regions where Data Protection Legislation applies. If there is any inconsistency or conflict between this DTA and the Agreement as it relates to data protection, this DTA will govern. The effective date of this DTA is the Effective Date of the Agreement (the “DTA Effective Date”).
