THIS LOAN AGREEMENT dated as of July 1, 2010 (the “Loan Agreement”), is by and among the City of San José, California, a charter city and municipal corporation organized and existing pursuant to the laws of the State of California (together with any successor to its rights, duties and obligations, the “Issuer”), JPMorgan Chase Bank, N.A., a national banking association organized and existing under the laws of the United States of America, as the initial Bondowner Representative (the “Bondowner Representative”) under the Indenture (defined below), and Orvieto Family Apartments, L.P., a California limited partnership (the “Borrower”).
