INTERCONNECTION AGREEMENT BETWEEN

This Amendment No. 3 (this “Amendment”) shall be deemed effective on June 15, 2012 (the “Amendment Effective Date”), by and between Verizon New England Inc., d/b/a Verizon Massachusetts, f/k/a New England Telephone and Telegraph Company, d/b/a Bell Atlantic - Massachusetts (“Verizon”), a New York corporation with offices at 125 High Street - Oliver Tower, 7th Floor, Boston, MA 02110, and T- Mobile Northeast LLC (“T-Mobile”), a Delaware limited liability company with offices at 12920 SE 38th Street, Bellevue, WA 98006 (Verizon and T-Mobile may be hereinafter referred to individually, as a "Party" and collectively as the "Parties"). This Amendment only covers the services addressed herein that Verizon provides in its operating territory in the Commonwealth of Massachusetts (the “State”).
