SPONSORING MEMBER ORGANIZATION ACCESS AGREEMENTSponsored Access Agreement • October 6th, 2010 • New York
This Sponsored Access Agreement (“Agreement”) is made by and between The NASDAQ OMX Group, Inc. a Delaware Corporation whose principal offices are located at One Liberty Plaza, 165 Broadway, New York, NY 10006, and each of the following subsidiaries: The NASDAQ Stock Market LLC; The NASDAQ Options Market LLC; NASDAQ OMX BX, LLC; and NASDAQ OMX PHLX LLC (collectively, ”NASDAQ”) and the Sponsoring Member Organization identified below. This Agreement is effective when executed by NASDAQ (“Effective Date”). NASDAQ operates exchanges for trading securities (“NASDAQ Exchange”). Pursuant to the terms of this Agreement, NASDAQ will provide Sponsoring Member Organization’s Sponsored Participants with access to NASDAQ Trading Systems for the Exchange(s) of which Sponsoring Member is a member in good standing. Such use shall be governed by the Sponsored Participant Agreement as well as by the Certificate of Incorporation, By-Laws, and Rules of the NASDAQ Exchanges.
