This Business Associate Agreement (this "Agreement") effective as of , (the "Effective Date") by and between , a HIPAA-defined Covered Entity ("Covered Entity") and Northeastern University, through its Healthcare Systems Engineering Institute (the "University"), whose collaborative relationship with Covered Entity makes the University a HIPAA-defined Business Associate ("Business Associate") of the Covered Entity. Covered Entity and Business Associate are each a Party to this Agreement and are collectively the "Parties."
