This Asset Purchase Agreement (the “Agreement”) is made and entered into on the 11th day of August, 2022 (“Agreement Date”) by and between Illinois-American Water Company, an Illinois corporation (“Illinois-American”), and the Village of Tolono, Illinois, an Illinois municipal corporation (“Tolono”). Hereinafter, Illinois-American and Tolono may be referred to individually as a “Party” or together as the “Parties.”
