THIS WAIVER AND RELEASE AGREEMENT (“Agreement”) is made by and between STERISIL, INC., a Colorado corporation (“Sterisil”), and the undersigned participant (“Participant”). For purposes of this Agreement, “Sterisil” shall include Sterisil International, King’s Ocean, LLC (“King’s Ocean”) and other affiliates and/or affiliated entities of Sterisil or King’s Ocean (including, without limitation, any other person, partnership, company, corporation or entity which may acquire substantially all of any such entity's assets or business, or with or into which any such entity may be liquidated, consolidated, merged or otherwise combined), as well as any director, officer, shareholder, employee, member, manager, principal, partner, agent, advisor, volunteer, servant and/or agent of any such party, and their respective, heirs, assigns, distributees, personal or legal representatives, administrators and executors. Any reference to “Sterisil” herein shall be deemed where applicable to refer also to
