AREA (this “First Amendment”) is entered into by and between the City of Duluth, a municipal corporation created and existing under the laws of the State of Minnesota (the “City”), and the GND Development Alliance, a Minnesota 501(c)(3) non-profit corporation (the “Alliance”). The City and the Alliance are hereinafter referred to as a “Party” or collectively as the “Parties.”
