This IN-KIND DARK FIBER AGREEMENT (“Agreement”) is entered into as of December , 2012 (the “Effective Date”) by and between XO Communications Services, LLC, a Delaware limited liability company (“XO”), and the City of Tempe, an Arizona municipal corporation (“City”). XO and City are each referred to as a “Party” and are collectively referred to as the “Parties.”
