The following summarizes certain provisions of two separate, but substantially identical, Loan Agreements, each dated as of November 1, 2010 (the “GO Zone Loan Agreement” and the “IKE Zone Loan Agreement,” respectively, and together, the “Agreements”), by and among the Louisiana Local Government Environmental Facilities and Community Development Authority (the “Authority”) and Westlake Chemical Corporation (the “Borrower”). The GO Zone Loan Agreement was entered into in connection with the issuance of the Authority’s $89,000,000 aggregate principal amount of Revenue Bonds (Westlake Chemical Corporation Projects), Series 2010A-1 (GO Zone) due November 1, 2035 (the “Series 2010A-1 Bonds”), pursuant to that certain Trust Indenture, dated as of November 1, 2010 (the “GO Zone Indenture”), by and between the Authority and Wells Fargo Bank, National Association, as trustee (the “Trustee”).
