This FIRST AMENDMENT TO VOD & DHE LICENSE AGREEMENT (“First Amendment”) is entered into as of Janaury [__], 2013 (“Effective Date”), by and between Sony Pictures Television Korea Inc., a Delaware corporation operating in Korea through its registered Korean branch office (“Licensor”), and CJ HelloVisision Co., Ltd., a corporation organized and existing under the laws of the Republic of Korea (“Licensee”), and amends that certain VOD & DHE License Agreement entered into between Licensor and Licensee dated as of November 23, 2011 (“Agreement”). Capitalized terms used and not defined herein have the meanings ascribed to them in the Agreement. For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Licensor and Licensee hereby agree to amend the Agreement as follows:
