This Agreement (hereinafter “Agreement”) entered into as of this 25th day of June, 2018 (“Effective Date”) by and between Case Western Reserve University, an Ohio non-profit corporation, having a principal place of business at 10900 Euclid Avenue, Cleveland, Ohio 44106 (“CWRU”) and NervGen Pharma Corp., a British Columbia corporation, having a principal place of business at 1703-595 Burrard Street, Vancouver, British Columbia, Canada, V7X 1J1 (“Licensee”).
