This grant agreement (this "Agreement") is made effective on Aug 22, 20l9, (the "Effective Date") between Cornell University (the "University"), a New York education corporation, and the Charles Koch Foundation, a Kansas nonprofit corporation (the "Donor"). This Agreement is for the benefit of the Cornell Program in Infrastructure Policy (the "Program"), which is housed in the Office of the Vice Provost for Research ("OVPR") at the University. The University and the Donor are sometimes referred to in this Agreement individually as a "Patty" and collectively as the "Parties." The Parties agree as follows:
