On April 1, 1995, Technology Visions Group, Inc., f/k/a Orbit Technologies, Inc. (the "Company"), entered into an employment agreement with you as Vice-President-Operations of the Company. This agreement exists presently and as of December 31, 2001, the Company was indebted to you in the amount of $640,560 for unpaid salary. As such, the Company agrees to convert $75,000 of unpaid salary into common stock at a rate of $.03 per share (2,500,000 shares), which is the current market price for the common stock.

Notwithstanding the preceding sentence, for purposes of clause (i) above none of the transactions contemplated by the Agreement and Plan of Merger dated as of December 20, 1999 by and among Honeywell International, Inc., HII-2 Acquisition Corp. and the Company and the Stockholders Agreement referred to therein, either individually or in the aggregate, will constitute a Change of Control of the Company unless and until, following the Change of Control of the Company that would otherwise result from any or all thereof, the Company breaches this Agreement, in which event a Change of Control of the Company will be deemed to have occurred at the time of such breach.
