THIS WARRANT TO PURCHASE SHARES OF COMMON STOCK ("W ARRANT") CERTIFIES THAT, for value received, CICERONE CORPORATE DEVELOPMENT, LLC (the "Holder"), is entitled to subscribe for and purchase from INTREorg Systems, Inc. (the "Company"), a corporation organized and existing under the laws of the State of Colorado, at the Warrant Exercise Price specified below during the exercise period specified below to and including January 31, 2013, Twenty Thousand (20,000) fully paid and nonassessable shares of Common Stock, $0.001 par value per share, of the Company (the "Common Stock"). The exercise price per share of this Warrant (subject to adjustment as noted below) shall be Four Dollars and Twenty-Five Cents ($4.25) (The "Warrant Exercise Price").
