This Settlement Agreement (“Agreement”) is made and entered into as of the day of April, 2020 (“Execution Date”) by and between Nidec Mobility Corporation (formerly known as “Omron Automotive Electronics Co., Ltd.”) (“NMOJ”), and Direct Purchaser Plaintiff (as defined in Paragraph 2), both individually and on behalf of a class of direct purchasers of Power Window Switches (the “Settlement Class”), as more particularly defined in Paragraph 6 below.
