Tapestry, Inc., a Maryland corporation (the “Company”), proposes to issue and sell to the several underwriters named in Schedule A (the “Underwriters”), acting severally and not jointly, the respective principal amounts set forth in such Schedule A of the Company’s 7.050% Senior Notes due 2025, 7.000% Senior Notes due 2026, 7.350% Senior Notes due 2028, 7.700% Senior Notes due 2030 and 7.850% Senior Notes due 2033 (together, the “Notes”). BofA Securities, Inc., Morgan Stanley & Co. LLC and J.P. Morgan Securities LLC have agreed to act as representatives of the several Underwriters (in such capacity, the “Representatives”) in connection with the offering and sale of the Notes.
