This Power Purchase Agreement, including Exhibits 1-11 hereto, which are incorporated into and made part hereof (collectively, the “Agreement”), is made and entered into by and between [insert full legal name of Seller] (“Seller”) and Duke Energy [Carolinas][Progress], LLC (“Buyer”) under the terms specified herein. Buyer and Seller may be referred to herein individually as a “Party” and collectively as the “Parties.” Notwithstanding anything set forth herein, neither this Agreement nor any transaction contemplated hereunder will be effective unless and until both Parties have executed and delivered this Agreement, and the later of such date shall be the “Effective Date” of this Agreement.
