COLLATERAL AGREEMENT, dated as of March 4, 2024 (this “Agreement”), among, VIAVI SOLUTIONS INC, a Delaware corporation (the “Borrower” or the “Grantor”) and WELLS FARGO BANK, NATIONAL ASSOCIATION (“Wells Fargo”), as interim security agent under the Interim Facilities Agreement referred to below (in such capacity and together with successors in such capacity, the “Interim Security Agent”).
