THIS PURCHASE AND SALE AGREEMENT (“Agreement”) is made and entered into as of the Effective Date (as defined in Section 27) by and between Wiltel Communications, LLC d/b/a CenturyLink, a Delaware limited liability company and successor-in-interest to Williams Communications, Inc (“CenturyLink”), and Kansas City Area Transportation Authority, a body corporate and politic (“Buyer”). CenturyLink and Buyer are sometimes referred to in this Agreement together as the “Parties” and individually as a “Party.”
