This STOCKHOLDERS’ AGREEMENT, dated as of July 29, 2016, is entered into by and among Broken Shed Distilleries, Inc., a Delaware corporation (the “Company”) and Samuel Brown and Jonathan Bailey (together with their successors and Permitted Transferees [as defined below], the “Majority Stockholders”), Steven Bristow Turner (“Turner”), Mark David O’Brien (“O’Brien”) and Hills & Beyond Limited, a New Zealand private limited liability company (“Hills” and collectively with Turner and O’Brien (together with their successors and Permitted Transferees [as defined below], the “NZ Stockholders” and the NZ Stockholders collectively with the Majority Stockholders and any each other Person who after the date hereof acquires securities of the Company and agrees to become a party to, and bound by, this Agreement by executing a Joinder Agreement, the “Stockholders”).
