This Software License Agreement (hereafter referred to as the “Agreement”) sets forth the terms and conditions under which IDENTEC SOLUTIONS AG (hereafter “IDENTEC”, including any and all of its subsidiaries unless explicitly stated otherwise), will license software programs from IDENTEC, for use by its customers (hereafter referred to as the “Customer”). IDENTEC and the Customer are hereinafter collectively referred to as “Parties” and individually as “Party”. The Customer’s General Terms and Conditions or any other general terms and conditions regarding software, if included in its acceptance offer or offer to IDENTEC, shall not be applicable, even if they were not rejected explicitly in any individual case by IDENTEC. The delivery of any goods or the rendering of any service by IDENTEC shall not imply the acceptance of any conflicting provision, in particular Customer’s General Terms and Conditions or any other general terms and conditions regarding software.
