This grant is made pursuant to the terms of the Accenture Ltd 2001 Share Incentive Plan, as amended by the Subplan for Restricted Share Units in France (as so amended, the “Plan”), which Plan, as further amended from time to time, are incorporated herein by reference and made a part of this Restricted Share Unit Agreement. Each RSU represents the unfunded, unsecured right of the Participant to receive a Share on the date(s) specified herein subject to the conditions specified herein. Capitalized terms not otherwise defined herein shall have the same meanings ascribed to them in the Plan.
