The intent of this document is to describe, for negotiation purposes only, some key terms of the proposed agreement between XYZ (“XYZ” or “Investor”), ABC and CV (each referred individually as “Founder, Director” and jointly as “Founder Directors”), and XYZ Private Limited and all its parents/subsidiaries/sister companies (together referred to as the “Company” or “XYZ”). The obligations of all parties to this Term Sheet and as outlined in this document are subject to satisfactory completion of due diligence, reference checks, internal approvals of respective parties and execution of appropriate definitive agreements (the “Definitive Agreements”).
