THIS AGREEMENT (the “Agreement”) is made and entered into by and between Versa Card Inc., a Delaware corporation (“Versa Card”), and the person whose signature appears below (“Employee”) as of the date written below the signature of Versa Card. Versa Card desires to employ Employee upon the terms and conditions of this Agreement and the offer letter dated February 21, 2009 (the “Offer Letter”), the terms of which are, by this reference, incorporated in this Agreement. Execution of this Agreement by Employee is a condition precedent to the obligation of Versa Card to employ or continue to employ Employee and to pay any remuneration to Employee in respect of such employment.
