W I T N E S S E T H: WHEREAS, the parties wish to enter into this Amended and Restated Employment Agreement (this “Agreement”) setting forth the terms and conditions of the Executive’s employment with the Company; and WHEREAS, this Agreement amends and restates in its entirety that certain Employment Agreement between the parties, dated September 22, 2012, as amended (the “Original Agreement”). NOW THEREFORE, in consideration of the promises and the mutual covenants hereinafter set forth, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:
