This Amendment No. 1 (this “Amendment”) is effective March 15, 2002 (“Amendment Effective Date”), by and between Verizon New England Inc., d/b/a Verizon Massachusetts, f/k/a New England Telephone and Telegraph Company, d/b/a Bell Atlantic - Massachusetts, a New York corporation (“Verizon”), and Northcoast Communications, L.L.C., a Delaware Limited Liability Company (“Northcoast”). (Verizon and Northcoast may hereinafter be referred to, each individually, as a "Party," and, collectively, as the "Parties").
