Confidentiality of Records. The Grantee shall establish and maintain procedures and controls that are acceptable to First Things First for the purpose of assuring that no confidential information (e.g., research data; information covered by HIPAA or FERPA; intellectual property) contained in its records or obtained from First Things First or from others in carrying out its functions under the Agreement shall be used by or disclosed by it or its agents, officers, or employees, except as required to efficiently perform duties under the Agreement. Persons requesting such information shall be referred to First Things First. The Grantee also agrees that any information pertaining to individual persons shall not be divulged other than to employees or officers of the Grantee as needed for the performance of duties under the Agreement, unless otherwise agreed to in writing by First Things First.
