entered into as of the 1st day of April, 2010, by and between the Federal Deposit Insurance Corporation, as the Purchase Money Note Guarantor, and the Federal Deposit Insurance Corporation, as Receiver (the “Noteholder”). Capitalized terms used in this Agreement and not otherwise defined in this Agreement shall have the meanings assigned to them in, or by reference in, that certain Agreement of Common Definitions, dated as of the Closing Date, among the Initial Member, the Company and others.
