This LICENSE AGREEMENT (the “Agreement”) is entered into as of the 30th day of November, 2007 (the “Effective Date”) by and between Santarus, Inc., a Delaware corporation, with its principal place of business at 10590 West Ocean Air Drive, Suite 200, San Diego, CA 92130 (“Santarus”) and Glaxo Group Limited, an English company with its principal place of business at 40 Berkeley Avenue Greenford Middlesex United Kingdom on behalf of itself and its Affiliates (together “GSK”). Santarus and GSK are sometimes referred to herein collectively as the “Parties” and separately as a “Party.”
