This novation will terminate the original contract and create a new contract with the incoming party and the continuing party on the same terms as the original agreement. You should encourage the external party to use the UNSW template as is. Given the competing priorities for the UNSW Legal Office, we will not necessarily be able to meet your timeframes and there may be delays for your project if the UNSW Legal Office is required to review extensive changes to the template. If the external party UNSW is entering into this agreement with is a foreign organisation that would be considered a “foreign entity” for the purposes of the Australian Government’s Foreign Arrangements Scheme (Scheme), UNSW may have an obligation to report this agreement under the Scheme.
