Amendment No.1 to Asset Purchase Agreement, dated as of March 16, 2021 (the "Amendment"), is entered into between MegumaGold Corp., a corporation incorporated under the laws of the Province of British Columbia ("Purchaser"), and Canadian Goldcamps Corp., a corporation incorporated under the laws of the Province of British Columbia ("Vendor") and together with Purchaser, the "Parties", and each, a "Party").
