This Amended, Extended and Restated Agreement (“Agreement”) shall be deemed effective as of September 16, 2005 (the “Effective Date”), between ALLTEL Communications, Inc. on behalf of itself and its wireless affiliates and solely with respect to its and their operations as a CMRS provider (“Alltel”), a corporation organized under the laws of the State of Delaware, with offices at One Allied Drive, Little Rock, AR 72203 and Verizon North Inc., Contel of the South, Inc., d/b/a Verizon North Systems (“Verizon”), a corporation organized under the laws of the State of Wisconsin with offices at 100 Executive Drive Marion, Oh 43302 (Verizon and Alltel may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
