This Cendyn Data Processing Agreement (this “DPA”), including all its exhibits and appendices, is entered into by and between Cendyn Group, LLC, a limited liability company organized under the laws of the State of Delaware, and its relevant affiliates (collectively, “Cendyn”) and Cendyn’s counterparty to the Master Services Access Agreement (“Agreement”) (“Customer”) (each, a “Party” and, collectively, the “Parties”). This DPA will become effective when the last Party signs the Agreement(s) (as defined below) (the “Effective Date”). This DPA supersedes and restates any existing data processing agreement, in any form, that Cendyn may have executed with Customer.
