American Midstream Partners, LP, a limited partnership organized under the laws of Delaware (the “Partnership”), proposes to issue and sell to Barclays Capital Inc. and UBS Securities LLC (collectively, the “Underwriters,” and each, an “Underwriter”), an aggregate of 3,400,000 common units (the “Firm Units”), each representing a limited partner interest in the Partnership (the “Common Units”). The Partnership also proposes to grant to the Underwriters an option to purchase up to 510,000 additional Common Units (the “Option Units”). The Firm Units and the Option Units, if purchased, are hereinafter collectively called the “Units”. Any reference herein to the Registration Statement, the Base Prospectus, any Preliminary Prospectus or the Prospectus shall be deemed to refer to and include the documents incorporated by reference therein pursuant to Item 12 of Form S-3 which were filed under the Exchange Act on or before the Effective Date of the Registration Statement or the issue date of t
