WHEREAS the Town and P&H entered into a letter of intent, dated (the “LOI”) which sets out the parties’ mutual understanding with respect to the proposed construction by P&H of a mooring dolphin (the “Mooring Dolphin”) in the inner harbour of the Port of Goderich (the “Project”) and the subsequent transfer of the Mooring Dolphin to the Town;
