(“Assignor”), nCino, Inc., a Delaware corporation (formerly known as Penny HoldCo, Inc.) (“Assignee”) and (the “Beneficiary”). Assignor, Assignee and Beneficiary are referred to collectively in this Agreement as the “Parties”.
