REGIS PARK, L.P., a California limited partnership, solely in their capacity as purchaser of the Bonds described herein (together with its designees, successors and assigns, the “Purchaser”), hereby offers to enter into the following agreement with the CHULA VISTA HOUSING AUTHORITY, a public body, corporate and politic organized and existing under the laws of the State of California (together with its successors and assigns, the “Issuer”), and ST. REGIS PARK CIC, LP, a California limited partnership (together with its permitted successors and assigns, the “Borrower”). Upon your acceptance of this offer and your execution and delivery of this Subordinate Bond Purchase Agreement (this “Agreement”), this Agreement will be binding upon each of you and the Purchaser.
