The undersigned “Registered Potential Purchaser” is interested in obtaining information regarding the property known as Palm Springs Village, located in the City of Palm Springs, County of Riverside, California (the "Property") in order to evaluate the possible acquisition (the “Proposed Transaction”) of the Property by Registered Potential Purchaser from LV Palm Springs Village LLC (“Owner”). Owner has indicated that all inquiries and communications with respect to the Proposed Transaction of the Property be directed to The Hoffman Company (the “Listing Broker”). By executing and delivering this Agreement (the “Agreement”), Registered Potential Purchaser hereby agrees as follows and acknowledges and agrees that Owner is relying upon this Agreement in making or allowing any disclosure of Confidential Information (as defined below) to Registered Potential Purchaser in connection with the Proposed Transaction.
