This Newhaven Public Improvement District Financing Agreement (this “Agreement”), dated as of , 2024 (the “Effective Date”), is entered into by and between Gregg Lane Dev, LLC, a Texas limited liability company (including its Designated Successors and Assigns (defined below), the "Owner"), and the City of Manor, Texas (the “City”), a home-rule municipal corporation of the State of Texas. The Owner and the City are sometimes collectively referred to herein as the “Parties”, or, each individually, as the “Party”. Unless otherwise defined herein, capitalized terms used herein are set forth in Exhibit “A”, attached hereto, and made a part hereof and in the Service and Assessment Plan.
