CHANGE IN CONTROL AGREEMENT (the “Agreement”) is made, entered into, and is effective this 18th day of October 2022, (hereinafter referred to as the "Effective Date"), by and between Woodward, Inc. (the "Company"), a Delaware corporation, and Roger A. Ross (the "Executive"). This Agreement replaces and supersedes the Amended and Restated Executive Severance and Change in Control Agreement dated November 16, 2021 between the Company and the Executive (the “Prior Agreement”).
